1. Agreement & Scope of Services
These Terms of Service ("Terms") govern the use of the BuildMode Tech website (buildmode.tech) and establish the operating baseline for software engineering, web development, mobile development, backend cloud architecture, and artificial intelligence consulting contracts delivered by BuildMode Tech ("BuildMode," "we," "our").
By accessing this site or executing a Statement of Work (SOW) with our studio, you agree to comply with and be bound by these Terms. Specific deliverables, sprint schedules, and pricing terms outlined in signed project agreements will supersede general terms where direct conflicts arise.
2. Intellectual Property & Code Ownership
We build with radical transparency and respect for customer ownership:
Upon full settlement of contracted invoices for a defined milestone or project, all bespoke source code, schema migrations, asset files, and documentation developed specifically for the client become the sole and exclusive property of the client.
We respect open-source licenses (MIT, Apache 2.0, BSD) and will never integrate restrictive licenses (GPL/AGPL) into client codebases without upfront, explicit consultation. BuildMode retains rights to generic, pre-existing developer tooling and utility libraries that do not contain client-specific business logic.
3. Engineering Methodology & Milestones
Our studio operates on agile, sprint-based cycles. Projects are partitioned into distinct phases: Discovery & Blueprinting, Architecture & Prototype, Core Implementation, Quality Assurance, and Production Deployment.
- Client Cooperation: Clients agree to provide timely feedback on architectural reviews, provide required API keys/credentials, and participate in sprint acceptance sign-offs.
- Scope Adjustments: Requests for additional features or fundamental architectural pivots outside the active sprint SOW will be scoped under a new milestone or change order.
4. Warranty, Quality Assurance & Bug Warranty
BuildMode guarantees that all deliverables will conform substantially to agreed-upon technical specifications. Following production handoff or milestone completion, we provide a standard 30-day warranty window during which critical bugs directly attributable to our implementation will be remediated at zero additional cost.
This warranty excludes defects caused by third-party API deprecations, unapproved third-party modifications, host infrastructure failures, or external network disruptions.
5. Limitation of Liability
To the maximum extent permitted by applicable law, BuildMode Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, or business interruption arising from software operation or third-party service outages. Our aggregate liability under any engagement shall not exceed the total fees paid by the client under the applicable Statement of Work in the preceding six months.
6. Governing Law & Dispute Resolution
These Terms and any project engagements entered into with BuildMode Tech shall be governed by and construed in accordance with the laws of Nepal. Any dispute arising out of or related to these Terms will first be addressed through good-faith negotiation, followed by competent courts situated in Lalitpur or Kathmandu, Nepal.
